1) Scope of Application

1.1 These General Terms and Conditions (hereinafter referred to as "GTC") of the company Dawid Szurlej
ZUT BORNIAK Dawid Szurlej (hereinafter referred to as "Seller”) shall apply to all contracts concluded between a consumer or a trader (hereinafter referred to as "Client”) and the Seller relating to all goods and/or services presented in the Seller's online shop. The inclusion of the Client’s own conditions is herewith objected to, unless other terms have been stipulated.

1.2 A consumer pursuant to these GTC is any natural person concluding a legal transaction for a purpose attributed neither to a mainly commercial nor a self-employed occupational activity.

1.3 A trader pursuant to these GTC is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of his commercial or independent professional activity.

2) Conclusion of the Contract

2.1 The product descriptions in the Seller’s online shop do not constitute binding offers on the part of the Seller, but merely serve the purpose of submitting a binding offer by the Client.

2.2 The Client may submit the offer via the online order form integrated into the Seller's online shop. In doing so, after having placed the selected goods and/or services in the virtual basket and passed through the ordering process, and by clicking the button finalizing the order process, the Client submits a legally binding offer of contract with regard to the goods and/or services contained in the shopping cart. The Client may also submit his offer to the Seller by e-mail.

2.3 The Seller may accept the Client’s offer within five days,
- by transferring a written order confirmation or an order confirmation in written form (fax or e-mail); insofar receipt of order confirmation by the Client is decisive, or
- by delivering ordered goods to the Client; insofar receipt of goods by the Client is decisive, or
- by requesting the Client to pay after he placed his order.

Provided that several of the aforementioned alternatives apply, the contract shall be concluded at the time when one of the aforementioned alternatives firstly occurs. Should the Seller not accept the Client’s offer within the aforementioned period of time, this shall be deemed as rejecting the offer with the effect that the Client is no longer bound by his statement of intent.

2.4 If a payment method offered by PayPal is selected, the payment will be processed by the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter referred to as "PayPal"), subject to the PayPal Terms of Use, available at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full?locale.x=en_DE or, if the Client does not have a PayPal account, subject to the Terms for payments without a PayPal account, available at https://www.paypal.com/uk/webapps/mpp/ua/privacywax-full. If the Client pays by means of a method of payment offered by PayPal which can be selected in the online order process, the Seller hereby declares the acceptance of the Client's offer at the time when the Client clicks on the button concluding the order process.

2.5 When submitting an offer via the Seller's online order form, the text of the contract is stored by the Seller after the contract has been concluded and transmitted to the Client in text form (e.g. e-mail, fax or letter) after the order has been sent. The Seller shall not make the contract text accessible beyond this. If the Client has set up a user account in the Seller's online shop prior to sending his order, the order data shall be stored on the Seller's website and can be accessed by the Client free of charge via his password-protected user account by specifying the corresponding login data.

2.6 Prior to submitting a binding order via the Seller’s online order form, the Client may recognize input errors by reading attentively the information displayed on the screen. The enlargement function of the browser to enlarge the display on the screen may be an effective method for better recognizing input errors.
The Client can correct all the data entered via the usual keyboard and mouse function during the electronic ordering process, until he clicks the button finalizing the ordering process.

2.7 The English language is exclusively available for the conclusion of the contract.

2.8 Order processing and contacting usually takes place via e-mail and automated order processing. It is the Client’s responsibility to ensure that the e-mail address he provides for the order processing is accurate so that e-mails sent by the Seller can be received at this address. In particular, it is the Client`s responsibility, if SPAM filters are used, to ensure that all e-mails sent by the Seller or by third parties commissioned by the Seller with the order processing can be delivered.

3) Right to Cancel

3.1 Consumers are entitled to the right to cancel.

3.2 Detailed information about the right to cancel are provided in the Seller’s instruction on cancellation.

4) Prices and Payment Conditions
4.1 Unless otherwise stated in the Seller’s product description, prices indicated are total prices including the statutory sales tax. Delivery costs, where appropriate, will be indicated separately in the respective product description

4.2 Payment can be made using one of the methods mentioned in the Seller’s online shop.

4.3 If prepayment by bank transfer has been agreed upon, payment is due immediately after conclusion of the contract, unless the parties have arranged a later maturity date

4.4 If a payment method offered via the payment service "PayPal" is selected, the payment shall be processed via PayPal, whereby PayPal may also use the services of third-party payment service providers for this purpose. If the seller also offers payment methods via PayPal that involve advance payments to the client (e.g., purchase on account or payment by instalments), he shall assign his payment claim to PayPal or to the payment service provider commissioned by PayPal and specifically named to the client. Before accepting the seller's declaration of assignment, PayPal or the payment service provider commissioned by PayPal shall carry out a credit check using the transmitted client data. The seller reserves the right to refuse the client the selected payment method in the event of a negative check result. If the selected payment method is approved, the client must pay the invoice amount within the agreed payment period or in the agreed payment intervals. In this case, he can only make payment to PayPal or the payment service provider commissioned by PayPal with debt-discharging effect. However, even in the case of assignment of claims, the seller remains responsible for general customer enquiries, e.g., about the goods, delivery time, dispatch, returns, complaints, cancellation declarations and deliveries or credit notes..

5) Shipment and Delivery Conditions

5.1 If the Seller offers to ship the goods, delivery shall be made within the delivery area specified by the Seller to the delivery address specified by the Client unless otherwise agreed. When processing the transaction, the delivery address specified in the Seller's order processing shall be decisive.

5.2 Should the assigned transport company return the goods to the Seller, because delivery to the Client was not possible, the Client bears the costs for the unsuccessful dispatch. This shall not apply, if the Client exercises his right to cancel effectively, if the delivery cannot be made due to circumstances beyond the Client's control or if he has been temporarily impeded to receive the offered service, unless the Seller has notified the Client about the service for a reasonable time in advance.

5.3 If goods are delivered by freight carrier, the goods shall be delivered free curb that is to say to the public curb stones which are closest to the delivery address, unless otherwise stipulated in the shipping information displayed in the Seller’s online shop or unless otherwise agreed.

5.4 Personal collection is not possible for logistical reasons.

5.5 The Seller reserves the right to withdraw from the contract in the event of incorrect or improper self-supply. This only applies if the Seller is not responsible for the non-supply and if he has concluded a concrete hedging transaction with the supplier. The Seller shall make all reasonable efforts to obtain the goods. In case of non-availability or partial availability of the goods he shall inform the Client and grant him immediately counterperformance.

6) Reservation of Proprietary Rights

If the Seller provides advance deliveries, he retains title of ownership to the delivered goods, until the purchase price owed has been paid in full.

7) Warranty

7.1 Unless otherwise stipulated , the provisions of the statutory liability for defects shall apply. Deviating therefrom, the following shall apply to contracts for the delivery of goods:

7.2 If the Client acts as trader

the Seller may choose the type of subsequent performance,
for new goods, the limitation period for claims for defects shall be one year from delivery of the goods,
for used goods, the rights and claims for defects are excluded,
the limitation period shall not recommence if a replacement delivery is made within the scope of liability for defects.
7.3 The above-mentioned limitations of liability and shortening of the period of limitation do not apply

to claims for damages and reimbursement of expenses of the Client,
if the Seller has fraudulently concealed the defect,
for goods which have been used in accordance with their customary use for a building and which have caused its defectiveness,
for any existing obligation of the Seller to provide updates for digital products with respect to contracts for the supply of goods with digital elements.
7.4 Furthermore, for traders, the statutory limitation periods for any statutory right of recourse that may exist shall remain unaffected.

7.5 If the Client acts as a consumer, the forwarding agent has to be immediately notified of any obvious transport damages and the Seller has to be informed accordingly. Should the Client fail to comply therewith, this shall not affect his statutory or contractual claims for defects.

8) Special Conditions for Repair Services

If the Seller is responsible for the repair of a Client's item under the terms of the contract, the following shall apply:

8.1 Repair services shall be provided at the Seller's place of business.

8.2 The Seller shall render his services at his discretion either himself or by qualified personnel selected by him. The Seller may also make use of the services of third parties (subcontractors) who act on his behalf. Unless otherwise stated in the Seller's service description, the Client has no right to select a specific person to perform the desired service.

8.3 The Client must provide the Seller with all information necessary for the repair of the item unless its procurement does fall within the Seller's scope of duties according to the content of the contract. In particular, the Client must provide the Seller with a comprehensive description of the defect and inform him of all circumstances which may be the cause of the defect found.

8.4 Unless otherwise agreed, the Client must send the item to be repaired to the Seller's place of business at his own expense and risk. The Seller recommends the Client to conclude a transport insurance for this purpose. Furthermore, the Seller recommends the Client to send the goods in suitable transport packaging in order to reduce the risk of transport damage and to conceal the content of the packaging. The Seller will immediately inform the Client of obvious transport damage so that the Client can assert any rights he may have against the transport company.

8.5 The return of the goods shall be at the Client's expense. The risk of accidental loss and accidental deterioration of the item passes to the Client when the item is handed over to a suitable transport person at the Seller's place of business. At the Client's request, the Seller will conclude a transport insurance for the goods.

8.6 The Client can also transfer the item to be repaired at the Seller's place of business and collect it again from the Seller if this results from the Seller's service description or if the parties have made a corresponding agreement in this respect. In this case, the above provisions regarding the bearing of costs and risks shall apply accordingly when the goods are dispatched and returned.

8.7 The aforementioned regulations do not limit the Client's statutory rights in the event of the purchase of goods from the Seller.

8.8 The Seller shall be liable for defects in the repair service provided in accordance with the provisions regarding statutory liability for defects.

10) Alternative dispute resolution

10.1 The EU Commission provides on its website the following link to the ODR platform: https://ec.europa.eu/consumers/odr.

This platform shall be a point of entry for out-of-court resolutions of disputes arising from online sales and service contracts concluded between consumers and traders.

10.2 The Seller is neither obliged nor prepared to attend a dispute settlement procedure before an alternative dispute resolution entity.

BORNIAK respects your right to privacy. This statement describes the personal data we may collect and how we use it, and other important privacy and data protection issues.

We highly value the trust of our clients, contractors and other partners who entrust us with their personal data. That is why the BORNIAK company is committed to complying with all provisions relating to the protection of privacy and personal data.

This Policy applies to all websites and mobile applications operated by or on behalf of BORNIAK (hereinafter collectively referred to as "Sites"). It also applies to personal data that may be obtained in various ways: by filling in a form from our Sites, by e-mail, by contact other than through the Sites - e.g. in person, by phone, at a show or training; also from our customers, distributors, suppliers, resellers and other business partners (hereinafter collectively referred to as "Business Partners").

Information collected automatically from your devices.

Device and browser information. The company may collect technical data of the customer's device, such as device type, type of web browser, IP address, operating system and device ID. The company retrieves this information automatically from the device and web browser using cookies and related technologies.

Information on how to communicate with us. We may collect technical information about how users use the Site and how they respond to advertisements and promotions on the web, such as content viewed or downloaded, features used, links clicked, promotional e-mails opened, and interaction dates and times. BORNIAK collects this information using cookies and related technologies.

Cookies and related technologies: A "cookie" is an information file that is stored on your device when you visit a website. Cookies and related technologies improve the user's experience by saving their preferences, personalizing the browsing behavior, storing information and products in the shopping cart, and sometimes enabling the delivery of advertisements corresponding to their interests.

The sites use "session cookies". They do not make it possible to identify the person and disappear when the web browser window is closed. For example, when a user browses the Product Catalog, the numbers of the viewed pages are saved in the session cookie. Based on this information, we can recommend you other products that may be of interest to you.

Do Not Track settings of web browsers. Some web browsers may send a "Do Not Track" (DNT) signal to the web pages you open. As there is no general consensus on the interpretation of DNT signals yet, we are not currently responding to them.

Information from Business Partners and other third parties

The BORNIAK company collects personal data through its business partners. This information may include contact details such as name, company name, job title, postal address, e-mail address and telephone number.

In addition, BORNIAK may obtain personal information from other third parties, including public and commercial sources. We may combine information received from Business Partners and other third parties with information obtained from customers and their devices as described above.

You have the right to choose what personal data you provide to BORNIAK. You may refuse to provide the information we request, but then we may not be able to provide your service, support or product.

Use of personal data

The BORNIAK company may use personal data for the following purposes.

Building and maintaining relationships with you and our Business Partners. These activities may include: providing services or conducting transactions at the request of you or our Business Partner, providing information about products, services and transactions, and advertising that may be of interest to you, providing you and our Business Partners with uniform interaction practices, including by soliciting information about you and the ways you use the Sites, as well as the products of the BORNIAK company, planning, management and operation on the basis of contracts concluded with business partners.
Communication with you and your company. Communication may include: informing about products and promotional campaigns that may be of interest to the client or his company; providing information about relevant products, services and transactions, including but not limited to price lists, technical, billing, shipping and product data, information about product warranties or recall, or information about product improvements, responding to questions and requests, including customer service requests.
Providing and improving our sites, applications and products. These activities may include: customizing the pages to the customer's liking or interests, making them better compatible with the technology used by the customer or facilitating their use in other ways; taking care of safety and security; creating new sites, applications and products.

BORNIAK may share your personal data with other business partners, including entities based in other countries. In this case, the entities that received the data, 

with this Policy and any applicable specific privacy statements and privacy and data protection laws.
The BORNIAK company may also share clients' personal data with third parties it employs to provide support services. These entities are required to use the personal data received from us only for the purpose of providing services on behalf of BORNIAK and processing them in accordance with the applicable provisions on the protection of privacy and personal data.
In some cases, BORNIAK may provide personal data to third parties cooperating with BORNIAK in the field of delivering products to customers, in particular distributors. The BORNIAK company may also disclose clients' personal data to third parties if it deems it necessary in good faith: in order to comply with the law, orders, court decisions and other legal requirements; to detect and prevent fraud, infringement of intellectual property rights, infringement of agreements or contracts with us, infringements of the law or other improper use of the Sites or products, and to respond in the event of such occurrence; to protect the property rights of BORNIAK and the health, safety, well-being and property rights of customers and other people; in other similar situations. The BORNIAK company may share personal data of its clients with third parties in connection with the sale, purchase, merger, restructuring, liquidation or dissolution of BORNIAK or the BORNIAK business unit or in other circumstances of this type. If such an event occurs, we will take all steps necessary to protect your personal data.
The company ZUT BORNIAK may provide personal data with the consent or at the request of the data subject.

Security of personal data

Personal data will be stored mainly in the databases of the ZUT BORNIAK company or databases belonging to service providers to the BORNIAK company. Databases are located in Poland and in the territory of the European Union. The company BORNIAK takes all appropriate steps, by contract or otherwise, to ensure proper protection of personal data disclosed to third parties or transferred to other countries.

BORNIAK takes appropriate measures to ensure the confidentiality, security and integrity of personal data held. While we make every effort to protect your personal information from unauthorized disclosure, misuse or alteration, as with all computer networks connected to the Internet, we cannot guarantee the complete security of information transmitted over the Internet and are not responsible for security breaches for which we had no rational influence.

Duration of personal data storage

The duration of the storage of personal data depends on their purpose and how they are used. The storage time of certain types of data is governed by applicable law. We store other data for no longer than necessary to achieve the purpose for which they were collected.

Disposal of rechargeable batteries, batteries, old electrical and electronic equipment

The Electrical and Electronic Equipment Act (ElektroG) contains a large number of requirements for handling electrical and electronic equipment. The most important are compiled here.

1. Separate collection of old devices

Electrical and electronic equipment that has become waste is referred to as waste equipment. Owners of old devices must collect them separately from unsorted municipal waste. In particular, old devices do not belong in household waste, but in special collection and return systems.

2. Batteries and rechargeable batteries

As a rule, owners of old devices must separate old batteries and accumulators that are not enclosed by the old device from it before handing them over to a collection point. This does not apply if the old devices are handed over to public waste disposal authorities and are separated there from other old devices in order to prepare them for reuse.

3. Options for returning old devices

Owners of old devices from private households can hand them in at the collection points of the public waste disposal authorities or at the collection points set up by manufacturers or distributors within the meaning of the ElektroG. 4. Privacy Notice

Old devices often contain sensitive personal data. This applies in particular to information and telecommunications technology devices such as computers and smartphones. In your own interest, please note that each end user is responsible for deleting the data on the old devices to be disposed of.

5. Meaning of the crossed-out dustbin symbol

The symbol of a crossed-out wheeled bin, which is regularly displayed on electrical and electronic equipment

points out that the respective device must be collected separately from unsorted municipal waste at the end of its service life.

INSTRUCTIONS FOR CANCELLATION & CANCELLATION FORM

A. Instructions for cancellation

Introduction

Consumers, i.e. any individual acting for purposes which are wholly or mainly outside those individual’s trade, business, craft or profession, are entitled to cancel any contract on the following conditions:

Right to cancel

You have the right to cancel this contract within fourteen days without giving any reason.

The cancellation period will expire after 14 days from the day on which you acquire, or a third party other than the carrier and indicated by you acquires, physical possession of the goods.

To exercise the right to cancel, you must inform us (BORNIAK Ltd. 590 Kingston Road, London, SW20 8DN, England, United Kingdom, E-Mail: info@borniak.com) of your decision to cancel this contract by a clear statement (e.g. a letter sent by post, fax or e-mail). You may use the attached model cancellation form, but it is not obligatory.

To meet the cancellation deadline, it is sufficient for you to send your communication concerning your exercise of the right to cancel before the cancellation period has expired.

Effects of cancellation

If you cancel this contract, we will reimburse to you all payments received from you, including the costs of delivery (except for the supplementary costs arising if you choose a type of delivery other than the least expensive type of standard delivery offered by us) without undue delay and not later than fourteen days after the day on which we are informed about your decision to cancel this contract. We may make a deduction from the reimbursement for loss in value of any goods supplied, if the loss is the result of unnecessary handling by you. We will make the reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise. In any event, you will not incur any fees as a result of the reimbursement. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.

You shall send back the goods or hand them over to us without undue delay and in any event not later than fourteen days from the day on which you communicate your cancellation from this contract to us. The deadline is met if you send back the goods before the period of 14 days has expired.

You bear the direct costs of returning the goods. The direct costs of returning goods which are unsuitable for a return shipment by post, due to their nature (goods delivered by transport agency), are estimated at around a maximum of 50 Pound.

You are only liable for any diminished value of the goods resulting from the handling other than what is necessary to establish the nature, characteristics and functioning of the goods

General information

1) Please prevent damage to and contamination of the goods. Please return the goods, if possible, in the original packaging with all accessories and all packaging components. If necessary, please use protective outer packaging. If you are no longer in possession of the original packaging, please use suitable packaging providing adequate protection against potential transport damage.
2) Please do not return the goods freight forward.
3) Please note that the above general information in section 1 and 2 is not a precondition for effectively exercising your right to cancel.

Complaints about the shipment upon delivery

 

Check the contents of the package if there is any mechanical damage caused by transportation such as broken, torn box, torn tape, dented box, etc.

If the package is damaged, refuse the package. In the event of "acceptance of the package" and the subsequent finding of physical damage to the goods, a protocol containing information about the damage should be drawn up on the spot in the presence of the deliverer. The damage report must state the type of damage, the condition of the packaging and the type of protection of the products in the packaging. Please inform us immediately.
